National Grid Company of Pakistan (NGC) – Organisational Development, Structure & Target Operating Model Design

Objective definition

Following the unbundling of the National Transmission & Despatch Company (NTDC) into NGC, EIDMC and ISMO, NGC was required to transition from an integrated power-sector institution into a dedicated national grid utility, with a clearly defined mandate for transmission network ownership, operation, maintenance and asset management. The separation of system operations and infrastructure development responsibilities created the need to redefine NGC’s organisational arrangements, functional boundaries, governance mechanisms and operating interfaces with the newly established entities.

The engagement aimed to undertake a comprehensive organisational and functional diagnostic and develop a fit-for-purpose Target Operating Model aligned with NGC’s revised institutional mandate and regulatory obligations. This included establishing clear functional accountabilities, organisational structures, reporting relationships, decision rights and coordination mechanisms across core and support functions. A further objective was to streamline business processes, address functional overlaps and inefficiencies, and establish appropriate shared-service arrangements and internal controls. The assignment was intended to provide NGC with an implementable organisational framework that would strengthen operational accountability, governance, service delivery and institutional effectiveness throughout the transition.

Approach

This assignment was delivered by our Senior Consultant. The approach was as follows:

  • Organisational diagnostic: Assessed the current organisation and benchmarked it against international utilities.
  • Structure and operating model: Designed the organisation structure and target operating model for NGC’s new mandate.
  • Roles and decision rights: Defined roles, reporting lines, spans of control and decision rights.
  • Process redesign: Redesigned key core and support processes.
  • Shared services and interfaces: Designed shared services, centres of excellence and interfaces with the separated entities, within NEPRA, governance, control and risk requirements.
